The polish Spółka z ograniczoną odpowiedzialnością (short “sp. z o.o.) is very common in Poland and similar to a German GmbH. The company combines a limited liability with assessable administrative costs as well an assessable social structure.

The Sp. z o. o. could be incorporate by a single person or more than one person. However it is not possible that just one sp. z o. o. incorporates a sp. z o. o. alone. But it is possible to consolidate the shares after the registration. With subject to polish law the share capital must at least amount to 5.000,00 PLN (approx. 1.300 EUR) whereby one share might be at least about 50 PLN. The payments can be done by cash or as kind of assets whereby it is required that the assets are at the CEO’ own disposal.

The incorporation takes place in front of a polish notary. The shareholders can be represented with a power of attorney. The articles of association are required to be certified. They have to contain at least: registered name + Spółka z ograniczoną odpowiedzialnością or the abbreviation Sp. z o. o., registered address, business purpose, amount of share capital, information on the number and value of the shares, p.r.n. end of Spółka z ograniczoną odpowiedzialnością.
